1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Opskribe ("we," "our," or "us"). By accessing or using the Opskribe platform at opskribe.vercel.app (the "Service"), you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of the updated Terms.

2. Description of Service

Opskribe is an AI-powered platform that helps businesses and teams generate professional Standard Operating Procedures (SOPs) from natural language descriptions. The Service includes:

  • AI-powered SOP generation from text prompts and process descriptions.
  • SOP templates library for common business processes.
  • Team collaboration features for reviewing and editing SOPs.
  • Export functionality in multiple formats (PDF, Notion, Google Docs, Markdown).
  • Dashboard for managing, organizing, and versioning SOPs.

3. Eligibility

You must be at least 16 years of age to use the Service. By using Opskribe, you represent and warrant that you have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information during registration.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account at support@opskribe.ai.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans & Billing

5.1 Plans

Opskribe offers the following subscription tiers:

  • Free ($0/month): Limited SOP generation with basic features.
  • Pro ($25/month or $20/month billed annually): Unlimited SOP generation, team collaboration, priority support, and advanced export options.
  • Lifetime ($349 one-time): Permanent access to all Pro features with no recurring fees.

5.2 Billing & Renewals

Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

5.3 Price Changes

We reserve the right to change subscription pricing. Existing subscribers will be notified at least 30 days before any price increase takes effect. Lifetime plan holders are not affected by future price changes.

6. Cancellations & Refunds

  • You may cancel your subscription at any time from your account settings.
  • Cancellation takes effect at the end of the current billing period; you retain access until then.
  • Monthly subscriptions: We offer a 7-day refund window from the date of charge.
  • Annual subscriptions: We offer a 14-day refund window from the date of charge.
  • Lifetime plan: We offer a 30-day money-back guarantee from the date of purchase.
  • Refund requests can be submitted to support@opskribe.ai.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any laws.
  • Generate SOPs containing harmful, abusive, defamatory, or discriminatory content.
  • Attempt to reverse-engineer, decompile, or exploit the AI models or underlying technology.
  • Scrape, crawl, or use automated tools to access the Service beyond normal usage.
  • Resell, sublicense, or redistribute generated SOPs as a competing service.
  • Interfere with or disrupt the Service, servers, or networks.
  • Impersonate any person or entity.
  • Upload or transmit viruses, malware, or other harmful code.

8. Intellectual Property

8.1 Our IP

The Service, including its design, code, AI models, templates, logos, and branding, is owned by Opskribe and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

8.2 Your Content

You retain full ownership of the content you provide (prompts, process descriptions) and the SOPs generated through the Service. By using the Service, you grant us a limited license to process your content solely to provide and improve the Service.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

9. AI-Generated Content Disclaimer

SOPs generated by Opskribe are created using artificial intelligence and are provided as a starting point. While we strive for accuracy and quality:

  • AI-generated content may contain errors, inaccuracies, or omissions.
  • You are responsible for reviewing, editing, and validating all generated SOPs before implementation.
  • We do not guarantee that generated SOPs comply with specific industry regulations or standards.
  • You should not rely solely on AI-generated SOPs for safety-critical or legally sensitive processes without expert review.

10. Limitation of Liability

To the maximum extent permitted by law, Opskribe shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising under these Terms shall not exceed the amount you have paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Opskribe and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of a third party.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (Sections 8, 10, 11) shall survive.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Opskribe operates, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first, and if unsuccessful, through binding arbitration.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
